The UAE’s Trademark Law

The UAE’s Trademark Law,  issued in July 2002, confirms that
the UAE will follow the International Classification System and that
one trademark can be registered in a number of classes. The new
law provides that the owner of the registration shall enjoy exclusive
rights to the use of the trademark as registered and can prevent others
from using an identical or similar mark on similar, identical or related
products and services if it causes confusion among consumers.
In 2004, the UAEG sought to amend and expand the scope of
landmark copyright, trademark, and patent laws issued in 2002. Most
notably, in 2004, the UAE Ministry of Information issued regulations
under the 2002 Copyright Law allowing for specialized collecting
societies. These societies are a practical way for sound recording
companies to collect royalties on the broadcast and performance of
copyrighted materials. The UAEG also is considering legislation for
data protection, privacy, and other IP-related issues. In response to
TIFA Council discussions, the UAE identified points of contact for
rights holders to address complaints.

Establishing and Doing Business :

Regulation of the establishment and conduct of business in the UAE is
shared at the federal and emirate levels. There are four major laws
affecting foreign investment in the UAE; namely,
- Federal Companies Law,
- Commercial Agencies Law,
- Federal Industry Law, and
- Government Tenders Law.
These laws, especially the Federal Companies Law, are being revised
to overcome obstacles to foreign direct investment in the UAE.
The Federal Companies Law applies to all commercial companies
established in the UAE and to branch offices of foreign companies
operating in the UAE. Companies established in the UAE are required
to have a minimum of 51 percent UAE national ownership. However,
profits may be apportioned differently. Branch offices of foreign
companies are required to have a national agent unless the foreign
company has established its office pursuant to an agreement with the
federal or an emirate government. All general partnership interest must
be owned by UAE nationals. Foreign shareholders may hold up to a 49
percent interest in limited liability companies.
The Commercial Agencies Law On June 18, 2006, the UAE
announced substantial changes to the Commercial Agencies Law.
These amendments include: 1) requiring mutual consent to renew
an agency agreement; 2) limiting an agency contract to a fixed time
period; 3) allowing either party to file for damages; 4) eliminating
the Ministry of Economy’s Commercial Agencies Commission(which
handles agency disputes); and 5) allowing the import of «liberalized
goods» without the agent’s approval.
The Agencies Law requires that foreign principals distribute their
products in the UAE only through exclusive commercial agents that are
either UAE nationals or companies wholly owned by UAE nationals.
The foreign principal can appoint one agent for the entire UAE or for a
particular emirate or group of emirates.
The Federal Industry Law stipulates that industrial projects must
have 51 percent UAE national ownership. The law also requires that
projects either be managed by a UAE national or have a board of
directors with a majority of UAE nationals. Exemptions from the law
are provided for projects related to extraction and refining of oil, natural
gas, and other raw materials. Additionally, projects with a small capital
investment or special projects governed by special laws or agreements
are exempt from the industry law.
In Abu Dhabi, ZonesCorp is in charge for the development of the
industrial sector. The three industrial cities of Abu Dhabi – ICAD I,
ICAD II and ICAD III – are expected to attract investment exceeding
Dhs30bn by 2009. Total investments in both ICAD I, ICAD II have
exceeded Dhs20bn. ZonesCorp was established with Dhs1 bn with
a 10-year closed end fund to build infrastructure projects to attract
industrial investment.
The Tenders Law stipulates that with respect to federal projects, a
supplier or a contractor must either be a UAE national or a company
in which UAE nationals own at least 51 percent of the share capital
or foreign entities represented by a UAE distributor or agent. Foreign
companies wishing to bid for a federal project must, therefore, enter
into a joint venture or agency arrangement with a UAE national or
company.

Federal tenders must be accompanied by a bid bond in the form of an
unconditional bank guarantee for five percent of the value of the bid.


UAE Federal Government entities often tender internationally if goods and
services are not available locally.

Prohibition of Forced or Bonded Labor:

The UAE Government prohibits forced and bonded child labor and generally
enforces this prohibition effectively.
The Labor Law prohibits employment of persons under the age of
15 and has special provisions for employing those 15 to 18 years of
age. The Federal Ministry of Labor is responsible for enforcing the
regulations. Other regulations permit employers to employ only adult
foreign workers.
In July 2005, the UAEG passed a decree banning the use of child
camel jockeys and included criminal penalties for violators up to and
including imprisonment.
The ban prohibits the use of camel jockeys less than 18 years of age

The United Arab Emirates is divided into seven emirates, with Abu Dhabi the largest of all seven emirates with an area of 67,340 square kilometers, equivalent to 86.7 per cent of the country’s total area, excluding the islands. It has a coastline extending for more than 400 kilometers and is divided for administrative purposes into three major regions. The Emirate of Dubai extends along the Persian Gulf coast of the UAE for approximately 72 kilometers. Dubai has an area of 3,885 square kilometers, which is equivalent to 5 per cent of the country’s total area, excluding the islands. The Emirate of Sharjah extends along approximately 16 kilometers of the UAE’s Persian Gulf coastline and for more than 80 kilometers into the interior. The northern emirates which include Fujairah, Ajman, Ras al-Khaimah, and Umm al-Qaiwain all have a total area of 3,881 square kilometers. There are two areas under joint control. One is jointly controlled by Oman and Ajman, the other by Fujairah and Sharjah.

There is an Omani exclave surrounded by UAE territory, known as Wadi Madha. It is located halfway between the Musandam peninsula and the rest of Oman in the Emirate of Sharjah. It covers approximately 75 square kilometres (29 sq mi) and the boundary was settled in 1589. The north-east corner of Madha is closest to the Khor Fakkan-Fujairah road, barely 10 metres (33 ft) away. Within the Omani exclave of Madha, is a UAE exclave called Nahwa, also belonging to the Emirate of Sharjah (formerly known as Bhubi Dhubhi). It is about 8 kilometres (5 mi) on a dirt track west of the town of New Madha. It consists of about forty houses with its own clinic and telephone exchange.

Eyjafjallajökull Volcano in Iceland



 The icecap of the glacier covers a volcano (1,666 m in height) which has erupted relatively frequently since the Ice Age. The latest eruption began in March 2010, and the most recent eruption before then was from 1821 to 1823, causing a fatal[citation needed] glacier run. A previous eruption was in 1612. The crater of the volcano has a diameter of 3–4 km and the glacier covers an area of about 100 km².

The ice-cap of the glacier covers an active volcano (1666m in height) which has erupted rather frequently since the ice-age. The last eruption was in 1821-23, causing a fatal glacier run. The crater of the volcano has a diameter of 3-4 km, the glacier covering an extension of about 100 km².

Svereal steep glacier tongues protrude from the mountain. Two of them Gigjokull and Steinholtsjokull drop into two small proglacial lakes filled with floating calved Icebergs. The lake in front of Gigjokull is called Jokullon. The lake in front of Steinholtsjokull is smaller. River Steinholtsá flows out it into Krossá. These lakes are formed by encircling walls built up by tons of terminal moraine.

In 1967 there was an enormous landslide onto Steinholtsjokull. On january 15 th 1967 at 13.47.55 there was an explosion in the cliff Innstihaus. It can be timed because the earthquake meters in Kirkjubæjarklaustur picked up the turbulance. When the landslide of about 15 million cubic meters hit the glacier a huge wave of air, ice, water and huge cliffs started to run from under the clacier and into the lagoon at the foot of the glacier. The wave got as high as 75 m from the floor of the valley. The cliffs stopped soon afterward but water and ice touched the floor of the old brigde over Markarfljót one and a half hour later.

Under the hills of Eyjafjallajokull stands the mountainridge Eyjafjoll but they were once part of the Atlantic coastline. The sea now being in a distance of about 5 km from there, the former coastline left behind sheer cliffs with a multitude of beautiful waterfalls, the best known of them being Skógafoss. In case of stark winds, the water of minor falls is even sometimes blown up the mountain.

In my next life I would like to be born an Indian !

What I can reveal is that I've encountered more beggars on the streets of London in the past week than I did in my entire sojourn in Tamil Nadu. India is the future — 25 per cent of people in the world under the age of 25 are Indian — and Tamil Nadu is one of its most prosperous states.

I also think I can share with you details of my return flight from Chennai to Heathrow on British Airways without incurring the wrath of Shiva. I haven't flown with BA for 20-odd years and it was an eye-opener. Full marks to BA for punctuality and inflight entertainment (excellent choice of films from Julie & Julia to The Reader). But the BA cabin steward was unfathomably rude to the mainly Indian passengers and made me squirm with embarrassment.




Why did he refuse to help any of us load our hand luggage into the overhead lockers? Or even deign to show us where we might find a free locker to stow away our bags? When an Indian passenger gently remonstrated with him, the steward replied tartly: “It's my duty to stay at the back of the plane.” Was he already on strike? OK, we all have bad hair days, but it left a sour note in the air. And what an appalling impression to give a first-time visitor to England (I was sitting next to one).



The next day I witnessed bank rage at my local branch of Lloyds in Kensington High Street. For some reason there are never enough cashiers to man the tills so a huge queue of impatient customers always quickly builds up. The man in front of me had had enough and hurled abuse at the staff.

It was a disgrace, he shouted, that Lloyds had to be bailed out by taxpayers with billions of pounds and yet the bank couldn't even find enough staff to man its tills: “Get me the manager!” “I am the duty manager.” “Get behind the till!” “I can't get behind the till because I'm not a cashier.”
So what do I know of England after my trip to India? That we are a nation of jobsworths and British Airways and Lloyds Bank still have a long way to go in improving customer relations. It used to be said that to be born British was to win the first prize in the lottery of life. In my next life I would like to be born an Indian.

Corniche Hospital to give out free car seats

From June, every newborn will leave the country's largest maternity hospital secured in a free child safety seat. Corniche Hospital, which delivers 10,000 babies a year, will be the first public hospital in the emirate to enact the car-seat discharge policy. The plan is to distribute about 7,200 child seats at no charge.

"It's not just a campaign but a permanent discharge policy,” said Amira Wali, the director of public health and communications at the hospital.

"Our goal is to continue distributing car seats free of charge, along with registration and counselling, until there's legislation passed where all children have to be in child restraints in the car.”

Securing a child in a car seat in the rear of a vehicle can prevent 71 per cent of infant fatalities and 54 per cent of toddler fatalities in accidents, according to the hospital. A recent traffic survey by the UAE University found that most children travel without wearing any safety restraints in the car.

The health insurance provider Daman is donating the Maxi-Cosi brand seats, which retail for Dh865 (US$235) each. Dr Michael Bitzer, Daman's chief executive, said supporting the hospital would ensure all newborns are safe as they go home.

Maxi-Cosi's Middle East chief executive, Ben Boenz, said yesterday: "Sometimes awareness is not enough. If the products are handed out for free, there's no excuse not to use it.”

TYPES OF LICENSES IN ABU DHABI

1 - National Proprietorship (100% National)



Selection and approval of trade name (Chamber approval).

Lease contract involving the headquarters through which the activity is intended to be practiced.

Passport photocopy + personal photograph of the national owner.

Definition of activity (Commercial; professional or vocational).

Acquiring competent authority approval whenever required for certain activities.

2 - Foreign Proprietorship (For Foreigners)

Definition of activity and getting it approved by respective competent authority whenever required for certain types of activities, with consideration to the fact that certain activities are only confined to nationals under different law provisions.

Contract agreement with a services agent holding the UAE nationality.

Lease contract involving the headquarters through which the activity is intended to be practiced.

Passport photocopies + personal photograph.

Completed application forms prepared for the purpose by the Municipality; Chamber and Commercial Register.



3 - Commercial Companies (51% Minimum National Share)



Getting the selected trade name approved in accordance with the requirements provided in the Commercial Company Law. (Chamber approval).

Partnership agreement duly authenticated by the Notary Public (National (s) share should not be less than 51%) and without prejudice to other provisions and requirements provided in the Commercial Company Law in respect of the company type or legal status.

Lease contract involving the headquarters through which the activity is intended be practiced.

Passport photocopy + personal photograph of each partner.

Definition of required activity. Getting it approved by respective competent authority whenever required for certain types of activities.

Bank Certificate, certifying that the company capital has been already paid- up at one of the banks operating in the Emirate, along with a statement showing the cash shares of partners.

Completed application forms prepared for the purpose by the Municipality; Commercial Register and Chamber Membership.

Registration of the Partnership agreement at the Ministry of Economy & Commerce.



4 - Foreign Company Branches:



Adopting the same mother company's name for the branch in Abu Dhabi (Chamber approval).

Detailed statement on the activity required to be practiced by the branch. Getting it approved by respective competent authority whenever required for certain activities, with consideration to that the branch activity must be from among those practiced by the mother foreign company.

Contract agreement with a services agent holding the UAE nationality. The agreement must be duly authenticated by the Notary public.

Submission of a duly attested " Undertaking" issued by the mother country pledging to bear any financial liabilities on behalf of its branches in the UAE.

Duly attested decision taken by the concerned administrative body at the mother company confirming willingness to open a branch in Abu Dhabi.

Duly attested official certificate issued by the competent authority at the country in which the foreign company is registered. The certificate must state for the company registration; legal status; capital; names, capacities and powers of its representatives.

Duly attested facsimiles of the mother company's letter of incorporation and articles of association.

Latest duly attested couple of balance sheets accredited by the mother company, along with auditor report; profit/loss account and other balance sheet- related explanations.

Statement showing main operations and activities practiced by the foreign company outside the UAE, and accounting for its previously accumulated experiences.

Duly attested power of attorney in favor of the company's representative in Abu Dhabi, along with his passport photocopy and personal photograph.

Passport photocopy and personal photograph of the national services agent if he is a natural person. In case he is a legal entity, an official certificate confirming that all partners are UAE nationality holders should be attached along with copies of issued licenses.

Statement showing the number of employees expected to be recruited in the company branch in Abu Dhabi.

The branch capital amount must not be less than Dhs. (250,000/-).

All documents should be translated into Arabic by an authorized legal translator and duly attested by the UAE Ministry of Justice.

5 - Appointment of Commercial Agent (Exclusive Distributor)



Foreign companies unwilling to acquire license, yet interested in finding access to the UAE markets or seeking to offer their services, may appoint a commercial agent in accordance with the provision of Federal Law No. (18) Of 1981 concerning the organization of commercial agencies and amending Law No. (14) Of 1988. Such agent may promote the foreign company products and services through an exclusive sales or distribution within the specified territory of the agency.

This can be done by virtue of a relevant agreement which should be duly registered at the Ministry of Economy & commerce.

However, foreign companies may have one agent to cover the whole UAE territories or one agent in each emirate.
